Terms of Service

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

Contra is an educational platform. It names and tracks falsifiable patterns (“archetypes”) in public market and regulatory data, and it presents pattern firings, classifications, magnitude scores, and related learning tools so that you can build your own pattern-recognition capability.

Contra is not a registered investment adviser, broker-dealer, financial planner, or tax or legal advisor. The Service does not provide personalized investment, financial, tax, or legal advice, and no content on the Service is a recommendation, solicitation, or offer to buy, sell, or hold any security or to adopt any investment strategy. See Section 7.

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that your use complies with all laws that apply to you.

Authentication is handled by our identity provider. You are responsible for the activity that occurs under your account and for keeping your credentials secure. Notify us promptly at hello@contraterminal.com if you suspect unauthorized use. You may close your account at any time from your account settings.

The Service offers a free tier and paid subscription tiers. Paid plans are billed in advance on a recurring monthly or annual basis through our third-party payment processor. Prices are shown on our pricing page and may change on a prospective basis with notice.

Your subscription renews automatically at the end of each billing period at the then-current price until you cancel. You authorize us and our payment processor to charge your payment method for each renewal. If a payment fails, we may suspend or downgrade your access.

Subscriptions purchased through a mobile app store are billed by, and managed through, that app store and are subject to its terms.

You may cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Refund eligibility is described in our Refund & Cancellation Policy.

All content on the Service is provided for general educational and informational purposes only. It is not tailored to your financial situation, objectives, or risk tolerance.

Pattern firings, tiers, scores, and any actual or hypothetical performance figures are derived from public data and may be incomplete, delayed, or incorrect. Investing involves risk, including the possible loss of principal, and past performance does not indicate future results. You are solely responsible for evaluating the information and for your own investment decisions. We strongly encourage you to consult a licensed investment, tax, or legal professional before acting. Nothing in the Service creates a fiduciary or advisory relationship between you and Contra.

You agree not to:

• use the Service for unlawful purposes or in violation of any applicable securities or other laws;
• scrape, crawl, resell, redistribute, or create a competing product from the Service or its data without our written permission;
• reverse engineer, interfere with, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
• share, sublicense, or transfer your account or subscription access; or
• misrepresent the Service’s output as personalized advice to any third party.

The Service, including the framework, archetype definitions, software, text, design, and other content, is owned by Contra or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

The Service relies on third-party data sources and service providers (for example, securities filings, market-data vendors, and infrastructure providers). We do not guarantee the accuracy, completeness, or timeliness of third-party data, and we are not responsible for third-party services. Your use of those services may be governed by their own terms.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty as to accuracy, reliability, or uninterrupted operation. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

To the fullest extent permitted by law, Contra and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or investment losses, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100.

You agree to indemnify and hold harmless Contra from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the Service or other users. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including Sections 7 through 13) will survive.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last updated” date or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to an alternative resolution process will be the state or federal courts located in Delaware, and you consent to their jurisdiction.
